J. Sagar Associates advised Zamil Industrial Investment Company, a Saudi Arabia based listed company, in its strategic buyout of its Indian Joint Venture Partner’s stake in Advantec Coils Private Limited.

Prior to the transaction, Zamil had originally owned a minority stake in ACPL.

The transaction also involved advising Zamil on the transfer of business of AGH Industries to ACPL as a condition to the strategic buyout of ACPL by Zamil.

JSA’s scope of work on this assignment included validating the overall structuring of the transaction from legal and regulatory perspective, conducting a legal due diligence on ACPL, drafting and negotiating the transaction documentation for all legs of the transaction including the business transfer agreement and share purchase agreement.
