Toshiba Corporation (Toshiba), Suzuki Motor Corporation (Suzuki) & Denso Corporation (Denso) – Joint Venture to make lithium-ion battery packs in India.

J. Sagar Associates advised and assisted Toshiba Corporation, a Japanese listed company, for establishing a joint venture in India with Suzuki Motor Corporation and Denso Corporation, both Japanese listed companies, to manufacture automotive lithium-ion battery packs. The joint venture aims at creating a stable supply of lithium-ion battery packs in order to promote sustainable cars in the country. In addition to attending towards the environment objectives of the country, this project also contributes to the ‘Make in India’ program of the Indian government. The joint venture is scheduled to be established in the year 2017. The initial capital expenditure will be Japanese Yen 20 Billion (approximately, USD 184 Million) and the joint venture will be capitalised at 2 Billion Japanese yen, with the participation ratio of Suzuki at 50%, Toshiba at 40% and Denso at 10%, respectively. The JSA team comprising of Partners Upendra Nath Sharma, Nitesh Bhasin, Kartik Jain, Reeti Choudhary and Associate Ayushi Pandey advised and assisted Toshiba Corporation in relation to the joint venture and various other legal issues, including, antitrust law matters, foreign exchange regulations and company law aspects involved in the transactions.
