J. Sagar Associates advised and assisted PepsiCo India Holdings Private Limited (“PepsiCo”) in relation to sale of PepsiCo’s franchise rights for the State of Odisha and parts of Madhya Pradesh to Varun Beverages Limited (“VBL”), PepsiCo’s largest bottler in India and the flagship company of the R. K. Jaipuria Group. VBL is now a franchisee for PepsiCo’s products across 18 states and 2 union territories in the country. As part of the overall transaction, PepsiCo also divested its entire equity and preference shareholding in SMV Beverages Private Limited, a company of S. K. Jaipuria Group (another bottler of PepsiCo). SMV Beverages and SMV Agencies Private Limited also transferred their bottling business in the above-mentioned territories to VBL.
