Firm advised ZWL in relation to the following, in connection with raising funds for financing the acquisition of 100% stake in the Heinz India Private Limited (i) preferential issue of 72,35,890 equity shares of ZWL to True North Fund V LLP and True North Fund VI LLP for an aggregate consideration of approx. INR 1000 crores; (ii) preferential issue of 7,23,589 equity shares of ZWL to Pioneer Investment Fund for an aggregate consideration of approx. INR 100 crores; and (iii) preferential issue of 106,72,937 equity shares of ZWL to Cadila Healthcare Limited and Zydus Family Trust, part of the promoter group of ZWL, for an aggregate consideration of approx. INR 1475 crores.
