J. Sagar Associates advised and represented MPS Limited (“MPS”) in its acquisition of HighWire Press (“HighWire”). The deal included: (a) the acquisition of shares of Northern Ireland-based HighWire Press Ltd which further had a UK-based subsidiary – Semantico Ltd; and (b) a forward merger of HighWire’s US entities (HighWire Press Holdings Inc., HighWire Press Inc. and HighWire UK Holdings LLC) first amongst themselves, and then with MPS’s wholly owned subsidiary in the US, which was freshly incorporated for the purpose of acquisition.

HighWire is an industry-leading global provider of digital publishing tools and platform solutions across all aspects of the publishing life cycle, including content management and hosting, analytics, access and identity management, manuscript submission and tracking. Investors in HighWire include Stanford University and mid-market software and technologyfocused private equity firm Accel-KKR.
