JSA advised in the acquisition of minority stake by dormakaba

Sagar Associates (JSA) advised and assisted dormakaba Holding AG (erstwhile Kaba Holding AG) (“dormakaba”) in connection with the acquisition of 26% shareholding in Dorset Kaba Security Systems Private Limited (“DKD”) from its existing joint venture partners. The acquisition was made by an affiliate of dormakaba i.e., Dorma India Private Limited. Dormakaba holds 74% in DKD and with this acquisition DKD is now wholly owned by the dormakaba Group. As part of the composite transaction, a portion of the DKD business relating to the local door hardware business was transferred to Dorset Industries Private Limited.

JSA had represented dormakaba at the time of formation of this joint venture as well.

Dormakaba is a global security group headquarted in Rümlang, Switzerland, and was formed as the result of a merger between Dorma and Kaba in September 2015. As one of the top three companies in the industry, dormakaba is the trusted partner for products, solutions and services for secure access to buildings and rooms from a single source.
