Hitachi acquired stakes in Micro Clinic

Japanese engineering and electronics conglomerate Hitachi Ltd, though its subsidiary Hitachi Systems, Limited (“Hitachi”) entered into a transaction to acquire 76% stake in an IT solutions company – Micro Clinic India Private Limited (“Micro Clinic”) from its promoter, Tarun Seth. Amarchand & Mangaldas & Suresh A. Shroff Co. acted as the legal advisor to Micro Clinic and its promoter and was involved in structuring the transaction, drafting transaction documents, negotiations and providing general corporate and tax advice in relation to the transaction.

Hitachi, inter alia, entered into a share purchase agreement with Mr. Tarun Seth to acquire 76% shareholding in Micro Clinic. The deal also involved restructuring of Micro Clinic’s affiliate company, Micro Clinic Software India Private Limited (“MCS”), to make MCS a subsidiary of Micro Clinic, as a part of the transaction.
