The Firm advised PTC India Financial Services Limited for financial assistance of Rs. 172.18 Crores (Rupees One Hundred and Seventy Crore and Eighteen Lakhs Only) granted to Tasoula Energy Private Limited for the purposes of part financing the estimate d cost of the project viz. 45 MW (AC)/ 66.6 MW (DC) solar power project, which the Company is setting up in Maharashtra under group captive mode.

The scope of work inter – alia included conducting due diligence of the borrower company including review of th e documents related to group captive mode, shareholder’s agreement, common infrastructure facility agreement, drafting of transaction documents, coordination with Foreign Legal Counsel for the promoter company, which is a Singapore entity, negotiation with the borrower team and its counsel, drafting of resolutions, certificates, PCC, issuance of closing legal opinion, review of foreign legal counsel’s opinion and other related documents. The Firm is also in process of conducting title search of the immovabl e property of the borrower and review of title search report of the local counsel(s).
