AMSS advises Hindustan Cooper Limited

Amarchand & Mangaldas & Suresh A. Shroff Co. acted as domestic transaction counsel to offer for Sale through stock exchange mechanism of 37,119,152 equity shares of Hindustan Copper Limited. Offer for Sale through stock exchange mechanism of 37,119,152 equity shares of Hindustan Copper Limited (“Company”) held by the President of India acting through and represented by the Ministry of Mines, Government of India (“Seller”), amounting to 4.01% of the shareholding of the Company, for cash at a price of `70 each, aggregating to approximately `259.83 crores. The trading on the stock exchanges happened on July 3, 2013 and settlement was completed on July 5, 2013.

This was the second tranche of divestment carried out by the Ministry of Mines by way of offer for sale through the stock exchange mechanism, to comply with the minimum public shareholding requirements under the listing agreement entered into with the stock exchanges. The first tranche of divestment of 51,604,148 equity shares was carried out on November 23, 2012.

Deal Value was of approximately 259.83 crore.
