S. Jalan & Co. has been appointed as the legal counsel for SBM Bank India Ltd. and has assisted in facilitating investment of INR 500 Million for a parcel of land measuring 81.19 acres, being project named ‘Utsodhara’ situated at Siliguri West Bengal, in favour of Ambuja Neotia Teesta Development Pvt. Ltd. The WBHIDCO, which is under the Government July 2021 | Lex WITNESS | 73 law aspects of this deal. The team was led by Partner and Head of the M&A Practice, Rukshad Davar. Majmudar & Partners acts as Indian Legal Counsel to Centre Lane Centre Lane Partners, LLC, a private investment firm that invests in the equity and debt of middle market companies in North America has completed its acquisition of Synacor, Inc. (Nasdaq: SYNC, now delisted) and its affiliates, including Zimbra Technology India Private Limited, through a tender offer and subsequent reverse merger. The transaction values Synacor, Inc. at US$92 million. This deal marks the first acquisition for Centre Lane in India. Synacor, Inc. is a leading provider of cloud-based collaboration and identity management software. Majmudar & Partners advised on the Indian law aspects of this deal. The team was led by Partner and Head of the M&A Practice, Rukshad Davar. of West Bengal, had initiated a theme for the purpose of “Health and Knowledge” primarily focusing on provision for senior citizens. Ambuja Neotia Teest Development Pvt. Ltd., was selected as the bidder was accordingly has acquired the said land. S. Jalan & Co. had conducted due diligence to determine the marketability of the said land which shall be developed for mixed use purposes, i.e., residential, hospital, school and commercial purposes. S. Jalan & Co. had also prepared the entire documentation for transaction on behalf of the SBM Bank India Ltd., comprising of Term Loan Agreement, Deed of Hypothecation, Escrow Agreement, Pari Passu Agreement and other miscellaneous documents.
