Khaitan & Co. advises Larsen & Toubro Infotech Limited in relation acquiring Ruletronics Systems, which offers customer relationship management (CRM) and business process management (BPM) solutions, for an enterprise value of $7.48 million (around ` 52.5 crore).

Firm is the leading legal advisor to LTI for the entire transaction and is involved in all legal aspects of the transaction including advising on the most efficient and regulatory compliant acquisition structure; Due diligence in respect of the India Target; Co – ordinating the offshore due diligence being conducted by Eversheds Sutherland; Drafting, negotiating and finalizing the transaction documents; Assist ance with execution and corporate compliances; Assistance with closing formalities; Project managing and coordinating with Eversheds Sutherland for the entire transaction.

Unique feature of the transaction was structuring the transaction to implement the simultaneous acquisition across 3 jurisdictions to achieve the commercial and business objective of LTI. Complicated earn – out component to the purchase consideration.
