Khaitan& Co. advised Vectus Industries Limited and its promoters in relation to the sale of equityshares of Vectus Industries Limited by the promoters to Wavin BV (an Orbia group company), andthe acquisition of 100% of the equity share capital of two Indian subsidiaries of Wavin BV by VectusIndustries Limited, resulting in a post transaction aggregate of ~67% of the share capital of VectusIndustries Limited being held by Wavin BV, on a fully diluted basis. The scope of work included a duediligence, negotiation and finalisation of share purchase agreements, a shareholders’ agreement,employment agreements for the managing directors and other ancillary documents relating to thetransaction.
