Amarchand Mangaldas is the legal advisor to PVR Limited, in its proposed acquisition of the entire promoter stake i.e. 69.27% in Cinemax India Limited, through its wholly owned subsidiary Cine Hospitality Private Limited, at a per share price of Rs 203.65 and a total consideration of Rs 394.97 crores. The proposed acquisition has triggered an open offer on November 29, 2012, to the public shareholders of Cinemax India Limited to acquire upto 26% stake in Cinemax India Limited under the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011. Assuming full acceptances, the transaction is valued at approximately INR 543 crores.
