Shardul Amarchand Mangaldas & Co. acted as the legal counsel for the Jupiter Group and was involved in all legal aspects of the transaction including structuring, drafting, negotiation and finalization of the transaction documents and providing all closing assistance in relation to the Transaction including drafting the private placement letters of offer, corporate resolutions, revisions to the charter documents and finalization of the FC-GPR and FC-TRS.

The Jupiter Group is engaged in the business of manufacturing railway wagons, railway crossings and railway switches. The Jupiter Group received the investment from the Slovakian railway wagon manufacturer Tatravagonka A.S. through primary infusion as well as secondary transfers from the existing promoters of the Jupiter Group. The investment will be carried out in multiple tranches with the Investor initially acquiring a significant minority stake and subject to certain commercial milestones eventually scaling up to 50% stake in the Jupiter Group.
